These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” “Customer,” or “you”) and Forge AI (“Company,” “we,” “us,” or “our”) governing access to and use of our website, software platform, products, services, applications, communications, and related offerings (collectively, the “Services”).

By accessing, browsing, registering for, purchasing, or otherwise using any Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services.

2. Eligibility

You represent and warrant that:

You are at least eighteen (18) years of age.

You possess the legal authority to enter into binding agreements.

Any information provided to Forge AI is accurate, complete, and current.

Your use of the Services complies with all applicable federal, state, local, and international laws and regulations.

3. Description of Services

Forge AI provides various business growth and reputation management solutions, including but not limited to:

Google Business Profile optimization

Review generation and review management services

AI-powered review response systems

QR code review funnels

Website design and optimization

Search engine optimization services

Customer communication tools

Reporting and analytics dashboards

Digital marketing and automation solutions

Forge AI reserves the right to modify, discontinue, suspend, or replace any Service at any time without prior notice.

4. No Guarantee of Results

Client acknowledges and agrees that:

Search engine rankings are controlled by third-party platforms.

Review generation depends upon customer participation.

Business performance is affected by numerous external factors.

Past performance does not guarantee future results.

Forge AI makes no representation, warranty, or guarantee regarding:

Specific ranking positions

Revenue increases

Lead generation volume

Customer acquisition rates

Review quantity or ratings

Search engine visibility

All Services are provided on a commercially reasonable efforts basis.

5. Client Responsibilities

Client agrees to:

Provide accurate and complete information.

Maintain ownership rights or authorization for all materials provided.

Obtain all necessary customer consents and permissions.

Comply with applicable privacy, telecommunications, consumer protection, and marketing laws.

Maintain current business information.

Client shall be solely responsible for the legality, accuracy, and appropriateness of any content, customer lists, communications, or materials supplied to Forge AI.

6. Customer Data Authorization

Client expressly authorizes Forge AI to access, process, store, analyze, and utilize customer information, contact data, reviews, business listings, website content, and related materials solely for the purpose of providing Services.

Client represents and warrants that all customer information provided has been collected lawfully and with all required permissions and consents.

Forge AI shall not be liable for unauthorized, unlawful, or improperly obtained customer information supplied by Client.

7. SMS Communications Compliance

Client acknowledges that SMS and messaging activities are subject to:

Telephone Consumer Protection Act (TCPA)

CAN-SPAM Act

CTIA Guidelines

Carrier requirements

Applicable state privacy laws

Client is solely responsible for obtaining all required opt-ins, permissions, and consents before messaging any individual.

Forge AI assumes no liability for violations arising from Client-provided contact data or messaging practices.

8. Intellectual Property

All software, systems, methodologies, trademarks, service marks, graphics, content, documentation, designs, source code, and proprietary materials developed or owned by Forge AI remain the exclusive property of Forge AI.

No license, ownership interest, or intellectual property rights are transferred except as expressly stated in writing.

9. Confidential Information

Both parties agree to maintain the confidentiality of non-public business information disclosed during the course of the relationship.

Confidential information shall not include information that:

Is publicly available.

Was independently developed.

Was lawfully obtained from a third party.

Is required to be disclosed by law.

10. Payment Terms

All fees are due according to the applicable subscription plan, service agreement, invoice, or order form.

Failure to remit payment may result in:

Suspension of Services

Termination of account access

Removal of hosted content

Collection activity

All fees are non-refundable except as expressly required by law.

11. Subscription Services

Subscriptions automatically renew unless canceled before the next billing cycle.

Client authorizes Forge AI to charge all applicable recurring fees using the designated payment method.

Pricing may be modified upon reasonable notice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGE AI SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES

INCIDENTAL DAMAGES

CONSEQUENTIAL DAMAGES

SPECIAL DAMAGES

EXEMPLARY DAMAGES

LOST PROFITS

LOST REVENUE

LOST BUSINESS OPPORTUNITIES

LOSS OF DATA

BUSINESS INTERRUPTION

IN NO EVENT SHALL FORGE AI’S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO FORGE AI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND.

FORGE AI DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING:

MERCHANTABILITY

FITNESS FOR A PARTICULAR PURPOSE

NON-INFRINGEMENT

TITLE

ACCURACY

AVAILABILITY

SECURITY

14. Indemnification

Client agrees to defend, indemnify, and hold harmless Forge AI, its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, damages, losses, liabilities, costs, expenses, judgments, penalties, fines, and attorneys’ fees arising out of:

Client’s use of Services

Violation of these Terms

Violation of law

Customer complaints

Privacy violations

SMS compliance issues

Intellectual property disputes

15. Force Majeure

Forge AI shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet outages, governmental actions, pandemics, cyberattacks, utility failures, telecommunications disruptions, or third-party platform changes.

16. Termination

Forge AI reserves the right to suspend or terminate access to Services at any time, with or without notice, for any reason including violation of these Terms.

Upon termination:

Access rights immediately cease.

Outstanding fees remain due.

Certain provisions shall survive termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation.

If unresolved, disputes shall be exclusively resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The parties waive any right to a jury trial.

19. Class Action Waiver

To the fullest extent permitted by law, all disputes shall be conducted solely on an individual basis.

No class actions, consolidated actions, or representative proceedings shall be permitted.

20. Entire Agreement

These Terms, together with any Service Agreement, Privacy Policy, Order Form, or Subscription Agreement, constitute the entire agreement between the parties and supersede all prior communications and understandings.
